Terms and Conditions of Purchase
1. DEFINITIONS
Unless the context otherwise requires:
(a) Claim means any claim, demand, remedy, suit, injury, damage, loss, cost, liability, action, proceeding, right of action, claim for compensation or reimbursement, whether direct or indirect, immediate, future, contingent, ascertained or unascertained.
(b) Client (you / your) means any person who accesses the Website or acquires access to any Digital Product.
(c) Digital Products means all downloadable or accessible digital materials made available by Her Legal Edge, whether free or paid, including templates, agreements, frameworks, guides, checklists, resources, and associated materials.
(d) Fees means any amount payable for access to a paid Digital Product.
(e) Her Legal Edge means Her Legal Edge Pty Ltd (ACN 690 048 947) and any of its related entities, servants, and agents.
(f) IP means all copyright, trade marks, designs, patents, and other intellectual property rights in the Digital Products and Website, excluding moral rights.
(g) Licence means the non-exclusive, non-transferable, perpetual right granted by Her Legal Edge to the Client to access and use the Digital Products for internal business purposes only, subject to these Terms.
(h) Personal Information has the meaning given in the Privacy Act 1988 (Cth).
(i) Parties means you and Her Legal Edge.
(j) Terms means these Terms and Conditions of Licence.
(k) Website means the Her Legal Edge website and all content made available through it.
2. GENERAL
By accessing the Website or acquiring any Digital Product, you agree that:
(a) you have read and understood these Terms and agree to be bound by them;
(b) these Terms apply to every transaction, download, and access to any Digital Product; and
(c) these Terms constitute a binding agreement between the Parties.
3. DELIVERY OF LICENCE
(a) Upon access to a free Digital Product or payment of the applicable Fee for a paid Digital Product, Her Legal Edge grants you a non-exclusive, non-transferable, perpetual internal-use Licence.
(b) Access is delivered digitally. Her Legal Edge is not responsible for delay, interruption, or technical issues beyond its control.
4. ENTIRE AGREEMENT
These Terms are the only terms that apply to your access to the Website and use of any Digital Product and replace all prior agreements, discussions, or representations.
5. TERM
(a) The Licence is ongoing and perpetual unless terminated in accordance with these Terms.
(b) All obligations relating to IP, limitation of liability, indemnity, dispute resolution, and governing law survive termination.
6. OWNERSHIP AND PROTECTION OF INTELLECTUAL PROPERTY
(a) All IP remains the sole property of Her Legal Edge.
(b) You must not, directly or indirectly:
-
copy, reproduce, adapt, translate, modify, reverse engineer, or derive from any Digital Product;
-
provide any Digital Product to any third party;
-
use any Digital Product to create competing products or services;
-
incorporate any Digital Product into any commercial system; or
-
hold any Digital Product out as your own work.
(c) Any unauthorised use constitutes a material breach and results in immediate termination of the Licence.
(d) Her Legal Edge reserves all rights to:
-
injunctive relief;
-
damages on a full indemnity basis; and
-
recovery of all losses, including legal costs, lost revenue, and reputational harm.
(e) You acknowledge that unauthorised use causes irreparable harm for which damages alone are inadequate.
7. FEES AND PAYMENTS
(a) Fees are payable in full at the time of purchase.
(b) Access is granted upon successful payment.
(c) Fees are non-refundable once access is provided, except as required by Australian Consumer Law.
(d) All Fees are expressed in AUD and inclusive of GST unless stated otherwise.
8. NO REFUNDS
(a) Due to the digital nature of the Digital Products, refunds are not provided for change of mind or non-use.
(b) Technical access issues must be reported within 7 days.
9. PRIVACY
You consent to Her Legal Edge collecting, using, storing, and disclosing Personal Information in accordance with its Privacy Policy, including transfer outside Australia.
10. NO LEGAL ADVICE AND NO LAWYER-CLIENT RELATIONSHIP
(a) All content is general information and educational material only. It does not constitute legal advice and does not take into account your specific circumstances.
(b) You acknowledge that:
-
Her Legal Edge is not acting as your lawyer;
-
no lawyer-client relationship is created; and
-
no professional duty of care arises.
(c) A lawyer-client relationship arises only if Her Legal Edge expressly agrees in writing and you enter a separate engagement agreement.
(d) Digital Products are general frameworks only and may not reflect applicable laws, awards, or risks.
(e) You are solely responsible for suitability, compliance, and implementation.
(f) You must obtain independent legal advice before relying on any Digital Product.
(g) You use all Digital Products entirely at your own risk.
(h) You acknowledge that you do not rely on any representation or omission by Her Legal Edge outside these Terms.
11. COMPETITOR EXCLUSION
(a) You must not access or use any Digital Product if you operate, or intend to operate, a business that competes with Her Legal Edge, including offering legal templates, legal education, or document automation services.
(b) Her Legal Edge may revoke access and pursue enforcement for breach.
12. DISPUTE RESOLUTION
(a) A Party must give written notice of any dispute.
(b) The Parties must attempt in good faith to resolve the dispute within 14 days.
(c) If unresolved, the dispute must be referred to mediation administered by the Australian Disputes Centre.
(d) Nothing prevents a Party seeking urgent interlocutory or injunctive relief.
13. LIMITATION OF LIABILITY
(a) To the fullest extent permitted by law, all warranties are excluded.
(b) Her Legal Edge is not liable for indirect or consequential loss incurred as a result of using the Digital Products.
(c) Where liability cannot be excluded, it is limited to resupply or the cost of resupply.
(d) Nothing excludes rights under Australian Consumer Law that cannot be excluded.
14. INDEMNITY
You indemnify Her Legal Edge against any Claim arising from:
-
your use or misuse of any Digital Product;
-
any breach of these Terms; or
-
any representation you make to third parties.
15. TERMINATION
Her Legal Edge may terminate the Licence immediately if you breach these Terms, misuse any Digital Product, or act in a way that risks Her Legal Edge’s IP or reputation.
16. EFFECT OF TERMINATION
All accrued rights and all clauses intended to survive termination continue in effect.
17. GOVERNING LAW
These Terms are governed by the laws of Queensland, Australia.
You submit to the non-exclusive jurisdiction of Queensland courts.
